This Off-Boarding Plan forms part of the agreement between Intelligent Quality Ltd ("Q-Hub") and the Customer and sets out the process that will be followed upon termination or expiry of the Customer's subscription. It should be read alongside the Terms & Conditions, Service Level Agreement, and Data Processing Agreement.
1. Notification of Termination
Upon either party providing notice of termination, Q-Hub will acknowledge the termination in writing and confirm the Customer's off-boarding timeline. A dedicated point of contact will be assigned to manage the off-boarding process on behalf of Q-Hub.
2. Data Retention Period
Following the effective date of termination, Q-Hub will retain all Customer Data and keep it accessible to Customer for a guaranteed minimum period of ninety (90) days (the "Retention Period"). During this period, Customer may continue to access the Service on a limited read-only basis solely for the purpose of exporting Customer Data.
3. Data Export
During the Retention Period, Customer may export their data using the standard export tools available within the Q-Hub platform. The following formats will be made available:
PDFs of all entries produced on the application, including forms, processes, audits, and Qdocs
CSV downloads of all customer-facing data, including forms, processes, registers, assets, tasks, documents, audits, user lists, and datasets
Zipped file of all documents held on the system, accompanied by a CSV of all associated file data
Q-Hub will provide reasonable assistance to Customer in exporting data during the Retention Period. Customer remains solely responsible for completing the export of all required data before the expiry of the Retention Period.
4. Managed Data Export Service
Where Customer requires Q-Hub to carry out the data export process on their behalf, this is available as a managed service. Q-Hub will extract, package, and deliver Customer Data in the formats set out in Section 3 of this plan, to a secure location agreed with Customer. This service is subject to a separate commercial arrangement and will be charged at Q-Hub's then-current professional services rate. Customer should request this service no later than thirty (30) days before the expiry of the Retention Period to allow sufficient time for completion.
5. Data Deletion
Following the expiry of the Retention Period, Q-Hub will not delete any Customer Data without the prior written approval of Customer. Where Q-Hub intends to proceed with deletion, it will provide Customer with no less than thirty (30) days' prior written notice of the intended deletion date.
Customer Data held in active systems will be deleted within thirty (30) days of approval. Customer Data that remains in backup systems will be deleted in the ordinary course of business in accordance with Q-Hub's documented backup retention schedules.
6. Certificate of Deletion
Upon completion of the deletion process, Q-Hub will issue Customer with a written certificate of deletion confirming that Customer Data has been removed. The certificate will be issued in two stages:
Stage 1 — confirming deletion from all active systems
Stage 2 — confirming deletion from backup systems once the applicable backup retention cycle has completed
7. Extended Retention Option
Where Customer requires access to the platform beyond the standard ninety (90) day Retention Period, Q-Hub offers an extended read-only holding arrangement for up to two (2) administrator users. This arrangement is available for a maximum period of three (3) years and will be charged at the then-current market rate for two administrator users plus a holding fee of £50 per month. This arrangement must be agreed in writing prior to the expiry of the standard Retention Period.

9. Governing Terms
This Off-Boarding Plan is subject to, and should be read alongside, the following documents:

Q-Hub Data Processing Agreement — Clause 7
In the event of any conflict between this Off-Boarding Plan and the Terms & Conditions, the Terms & Conditions shall prevail.
