Terms of Service

Definitions

"Service" means the Q-Hub cloud-based QHSE management platform. "Customer" means the entity that subscribes. "User" means an individual authorised by the Customer. "Content" means data uploaded by the Customer.

Acceptance of terms

By accessing or using Q-Hub, you agree to be bound by these terms. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation.

Your account

You are responsible for providing accurate information, keeping your password secure, managing authorised users, and account administrator responsibilities.

Plans, billing and payment

Covers plan tiers, billing frequency, payment methods, price changes with 30 days notice, refund policy, and free trial terms.

Acceptable use

Prohibited activities, fair use limits, compliance with applicable laws, and no reverse engineering.

Intellectual property

Q-Hub retains all intellectual property in the service. The Customer retains all intellectual property in their content. A limited licence is granted for service operation.

Your content and data

The Customer owns all content. Q-Hub processes content only to provide the service. Data export is available at any time, and data is deleted upon termination.

Data protection

A Data Processing Agreement is incorporated by reference, along with a sub-processor list, data breach notification within 72 hours, and GDPR compliance commitments.

Service levels

99.9% uptime commitment, with exclusions for scheduled maintenance and service credits for downtime exceeding the SLA.

Liability

Cap on liability, exclusion of indirect damages, with exceptions for gross negligence and data breaches.

Indemnification

Mutual indemnification for IP infringement and data breach negligence.

Term and termination

Termination for convenience with 30 days notice, immediate termination for material breach, and a data export period of 30 days post-termination.

Confidentiality

Mutual confidentiality obligations, with exclusions for publicly known information and a survival period of 3 years.

Force majeure

Neither party is liable for failures due to events beyond reasonable control.

Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the English courts.

Changes to these terms

We give 30 days written notice of material changes. Continued use constitutes acceptance.
